Terms &
Conditions
By submitting this form, you are entering into a binding creative retainer agreement with Lit Studio for the selected tier and term. The agreement begins on the confirmed start date communicated via email after submission.
Retainer fees are billed monthly in advance on the same calendar date each month. Your rate is locked for the full duration of your selected term.
- Invoices are issued 5 business days before the billing date
- Payment is due within 5 business days of invoice date
- Late payments may result in a pause of deliverables
- Rates are fixed for the full term — no mid-term increases
Monthly asset counts are as specified in your selected tier. Unused assets do not roll over to the following month. All deliverables are scoped to the agreed tier — additional assets outside scope are subject to a separate quote.
Available on all retainer plans (3, 6, and 12-month terms). If assets delivered within your retainer demonstrably underperform conversion benchmarks within 90 days, Lit Studio will reshoot at no additional cost, subject to:
- Performance data must be provided (ad metrics, platform analytics)
- Original brief must have been followed without client-side alterations
- One reshoot per asset type, per term
- Not applicable to one-off projects
Each term includes one complimentary pause of up to 30 consecutive days. Pause requests must be submitted in writing with a minimum of 14 days notice.
A written cancellation notice of 30 days is required to end a retainer agreement. Early termination before the end of a committed term may incur a clawback fee. No-questions-asked cancellation after the term is complete.
Upon full payment of each month's invoice, the client receives full commercial usage rights to all assets delivered in that billing period. Lit Studio retains the right to use deliverables in its portfolio and marketing materials unless a confidentiality agreement is signed separately.
- Provide products and shipping costs
- Respond to creative briefs within 3 business days
- Designate a single point of contact for approvals
- Provide brand guidelines, assets, and references at onboarding
Lit Studio's total liability for any claim arising from this agreement shall not exceed the total fees paid in the preceding 30 days. Lit Studio is not liable for indirect, incidental, or consequential damages including lost revenue or business opportunities.
By checking the agreement box and submitting this form, you confirm that you have read, understood, and agree to all terms outlined above. This constitutes a legally binding agreement between you and Lit Studio.
Cancellation &
Commitment Policy
This policy outlines the terms of commitment, cancellation, and rate protection for all retainer packages. It is designed to be transparent, fair, and protective of both parties.
Commitment & Rate Lock
By signing a retainer agreement, the client secures a fixed monthly rate for the full duration of the agreed term. This rate is guaranteed and will not increase for the duration of the contract, regardless of future pricing changes.
Cancellation Notice
All cancellations must be submitted in writing via email. A minimum of 30 days written notice is required before the intended cancellation date.
- Notice must be sent in writing to the agreed contact email address.
- The 30-day notice period begins on the date the written notice is received and confirmed.
- Work will continue as normal during the 30-day notice period and payment remains due for that period.
- Verbal cancellations or social media messages will not be accepted as formal notice.
Early Cancellation & Clawback
Retainer discounts are earned through commitment. If a client cancels before the end of their agreed term, the discount applied to all completed months will be clawed back and invoiced at the standard one-off rate.
The difference between what was paid (discounted rate) and what the same assets would have cost at standard one-off rates will be invoiced upon early cancellation.
Package Pause Policy
To reduce the need for cancellations, clients may pause their retainer once per contract term. This is designed for genuine business disruptions such as seasonal closures, product launches, or planned breaks.
- One pause permitted per contract term (3, 6, or 12 months).
- Maximum pause duration is 30 consecutive days.
- The contract end date is automatically extended by the number of paused days.
- Pause requests must be submitted in writing with a minimum of 14 days notice.
- Assets are not accumulated or carried over during a pause period.
Non-Transferable
Retainer packages are non-transferable. The agreed rate, deliverables, and terms apply exclusively to the client brand named in the signed agreement and may not be transferred, gifted, or sub-licensed to any third party.
